Resume Services Agreement

1. Services

​

The Client wishes to engage the Editor (Synthesist/Donald Barker) to audit, refresh, or design a resume.

 

A. Process

​

  1. The Client must email their most current resume in a Microsoft™ Word file format. It is ideal for the Client to email a sample job description as well. If the Client does not have a resume, they will need to provide as much information as possible in a Microsoft™ Word file format so the Editor can create a resume.

  2. The Editor will conduct the requested resume services within the agreed timelines.

  3. The Editor will email the resume to the Client once full payment is received. The Editor will also email  any relevant resources to support the Client in achieving their resume goals.

  4. The Client can schedule a 30-minute videoconferencing meeting to discuss the resume with the Editor.

  5. The Client is responsible to record notes during the videoconferencing meeting, ask questions for clarification, and request any additional information or recommendations that do not naturally arise during the conversation.  

 

B. Place of Work and Meetings

​

  1. The Editor will complete all work from their own place of business.

  2. All meetings will occur via videoconferencing, unless the Client and the Editor both agree to an alternate format, such as a telephone meeting.

C. Rescheduling

 

  1. Should the Client need to reschedule the videoconferencing meeting to a later date, the Editor asks that they do their best to reschedule within the 24 hours prior to the original time slot.

  2. Should the Client need to reschedule the videoconferencing meeting within less than 24 hours of the original time slot, the Editor will not be responsible to guarantee their availability within the Client’s preferred timelines.

  3. Should the Client need to expedite the videoconferencing meeting based on new timelines, the Editor’s schedule may be able to accommodate an earlier time slot, but the Editor is not responsible to meet these demands.

 

D. Delivery Details

​

  1. The Editor will deliver the resume to the Client in a Microsoft™ Word file format via email or through another agreed-upon electronic platform prior to the videoconferencing meeting.

  2. Inherent Qualities: Digital files may become corrupted or erased with improper use, and storage media may degrade over time. It is the Client’s responsibility to ensure the safekeeping and stability of the resume file once the Editor has released it to the Client. The Editor is not responsible for any loss of data resulting from accidental or deliberate deletion, network or system outages, file corruption, or any other reasons.

2. Compensation

​

A. Fees and Payment

​

  1. The Client agrees to pay the entire fee before services begin.

  2. Clients who live in Canada agree to pay a 5% Goods and Services Tax. Clients who live outside Canada do not have to pay tax.

  3. The Client can submit payment through a direct electronic bank transfer or request to submit payment electronically through a major credit card, debit card, Apple Pay, or Google pay. The Editor will email the Client a link to submit the full payment online via the secure Stripe® platform.

  4. Should the Client need to expedite the resume services and the Editor's schedule can accommodate this request, the Client will agree to pay an additional surcharge of 50% of the original fee plus 5% Goods and Services Tax, when applicable.

 

B. Invoicing

​

  1. The Editor will invoice the Client at the onset of the Agreement.

  2. The Client agrees to provide the full payment before the Editor will begin the resume audit.

 

C. Refund Policy

​

Once the Editor has initiated the resume services, all payments under this Agreement are final, irrevocable, non-refundable, and non-creditable.

3. Other Terms & Conditions

​

A. Status of Relationship to Editor

​

The Editor is an independent contractor. Nothing in this Agreement will be understood to create a partnership, joint venture, co-venture, agency, or employment relationship between the Client and the Editor.

 

B. Warranties

​

  1. The resume services are a process of offering advice and suggestions to the Client. While the Editor will make every effort to identify and recommend more effective language and formatting, the Client is responsible to ensure error-free content in the final resume.

  2. The Editor’s responsibility is limited to notifying the Client of any concerns or issues within the resume. The Client is fully responsible to accept or reject the Editor’s suggestions and to resolve any issues identified by the Editor.

  3. Rejecting, disliking, or disagreeing with the Editor’s suggestions or resources is not a basis for refusing to pay the fees outlined in this Agreement.

 

C. Indemnity and Liability

​

  1. The Editor will comply with all applicable laws while performing the services.

  2. The Client agrees to indemnify the Editor from any and all claims or demands, including legal fees, that arise out of any alleged libel, copyright infringement, or other legal or contractual issues created by the Client when writing or revising the resume.

  3. The Editor will not be liable for any amount in excess of the fees due under the Agreement. This limitation on liability also applies if information or materials are damaged or lost without fault on the part of the Editor.

  4. Failure to Perform: If the Editor cannot perform the duties outlined in this Agreement for reasons beyond the Client’s or Editor’s control, the Editor will refund the amount paid by the Client for services not delivered. The Client will not have any further liability with respect to the Agreement.

 

D. Termination and Cancellation Policy

​

  1. The term of this Agreement commences on the date of acceptance of this Agreement and continues in effect unless terminated or cancelled in writing by the Client before the resume services are complete.

  2. The Client's termination or cancellation of the Agreement shall not eliminate any existing obligation on behalf of the Client to provide full payment for the Editor’s services.

  3. The provisions of this Agreement that by their nature are intended to extend beyond its termination will survive and remain in effect despite the completion of the services or the termination of the Agreement. This includes the sections of this Agreement required for its interpretation and enforcement.

 

E. Notice

​

  1. Notice by one party to the other under or for the purposes of this Agreement (including for the purpose of modifying it) will be in writing and will be emailed to the electronic addresses set out at the beginning of this Agreement.

  2. Email communications will be considered delivered and received at the time of electronic transmission if that transmission occurs by 4:00 p.m. Mountain Standard Time, failing which the communication will be considered delivered and received the next day.

  3. For the purposes of this Agreement, a business day means any weekday that is not one of the recognized statutory holidays in Alberta, Canada (see: https://www.alberta.ca/alberta-general-holidays.aspx).

 

F. Dispute Resolution

​

The Client or the Editor may request that any dispute arising out of this Agreement be submitted to binding arbitration before a mutually agreed-upon arbitrator in accordance with the arbitration legislation of the governing province or territory. The arbitrator’s decision or award will be final.

 

G. Applicable Law

​

This Agreement will be governed and interpreted in accordance with the laws of Canada and the province of Alberta.

If any part of this Agreement is found to be unlawful, void, or for any reason unenforceable, it will be considered separate from this Agreement and will not affect the validity and enforceability of the remaining Agreement. If either the Client or the Editor waives a breach or default under this Agreement, the waiver will not apply to a repeat of the same breach or to a breach or default of another clause in the Agreement.

 

H. Modification of Agreement

​

Any modification of this Agreement must be in writing and acknowledged in writing by both the Client and the Editor through an updated Agreement.

​

4. Consent

​

The Client confirms that they have full power and authority to enter into this Agreement and acknowledges that the indication of their consent through email to the Editor is sufficient proof of accepting the terms of this Agreement.
